Terms of Service

1. Acceptance of Terms
By installing, accessing, or using any application or service provided by HLKonnect ("we", "our", "us"), including all current and future applications published on the GoHighLevel (GHL) marketplace, the HLKonnect website, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.
2. Description of Service
HLKonnect provides data synchronization and integration applications that connect third-party platforms (such as Shopify, Stripe, WooCommerce, and others) with GoHighLevel. The Service includes data sync, field mapping, workflow triggers, and related features delivered through applications on the GHL marketplace.
We may add, modify, or discontinue features or applications at any time. We will provide reasonable notice for changes that materially affect your use of the Service.
3. Account Requirements
- You must have an active GoHighLevel account to use any HLKonnect application.
- You must have valid accounts on any third-party platforms you wish to connect (e.g., Shopify, Stripe).
- You are responsible for maintaining the security of your accounts, OAuth credentials, and any API keys associated with your use of the Service.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- You must provide accurate and complete information when creating your account and keep it up to date.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Service.
- Use the Service to sync, transfer, or process data you do not have the right to access or transfer.
- Interfere with, disrupt, or place undue burden on the Service or its infrastructure.
- Exceed reasonable usage limits, abuse the sync functionality, or use the Service in a way that degrades performance for other users.
- Resell, sublicense, or redistribute the Service without our prior written consent (except under an authorized white-label agreement).
- Attempt to bypass or circumvent any security measures, rate limits, or access controls.
- Use automated scripts, bots, or scrapers to interact with the Service outside of its intended API interfaces.
5. Usage Limits & Fair Use
Each HLKonnect application may have usage limits based on your subscription plan, including but not limited to:
- Number of connected stores or accounts.
- Number of sync operations or API calls per period.
- Volume of records synced per month.
Specific limits are described on the pricing page and within each application. We reserve the right to throttle or suspend access if usage significantly exceeds fair use expectations for your plan tier. We will attempt to notify you before taking action.
6. Free Trials
We may offer free trial periods for certain applications or plans. During the trial:
- You will have access to the features specified for the trial plan.
- No payment is required during the trial period.
- At the end of the trial, your access will convert to a paid subscription or be downgraded/suspended, depending on the application. We will notify you before the trial ends.
- We reserve the right to modify or discontinue free trials at any time.
- Free trials are limited to one per GHL location per application.
7. Pricing, Payment & Billing
- Pricing for each application is as displayed on our website and the GHL marketplace listing at the time of purchase.
- Payments are processed through the GoHighLevel marketplace billing system. We do not directly collect or store your payment card information.
- Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase.
- We reserve the right to change pricing with at least 30 days written notice. Price changes will take effect at the start of your next billing cycle.
- Refunds are handled according to the GoHighLevel marketplace refund policy. For refund requests, contact support@hlkonnect.com.
8. Data and Privacy
- You retain full ownership of all data synced through HLKonnect. We do not claim any ownership rights over your data.
- We process your data solely to provide the Service as described in our Privacy Policy.
- You are responsible for ensuring you have the legal right to sync, transfer, and process customer data between platforms and that you comply with all applicable privacy laws (including GDPR, CCPA, and any other relevant data protection regulations).
- You are responsible for obtaining any necessary consents from your customers before syncing their personal data through the Service.
9. Third-Party Platforms
The Service integrates with third-party platforms (Shopify, GoHighLevel, Stripe, WooCommerce, and others) that are operated by independent companies. You acknowledge that:
- We are not affiliated with, endorsed by, or responsible for these third-party platforms.
- Your use of third-party platforms is governed by their respective terms of service and privacy policies.
- We are not liable for changes, outages, API modifications, or discontinuations by third-party platforms that affect the Service.
- If a third-party platform modifies its API or policies in a way that prevents us from providing certain features, we will make reasonable efforts to adapt but cannot guarantee uninterrupted functionality.
10. Intellectual Property
- The Service, including all software, code, design, documentation, trademarks, and content created by HLKonnect, is our exclusive property or the property of our licensors and is protected by applicable intellectual property laws.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms and your subscription plan.
- You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written consent.
- You retain all rights to your data. We do not claim ownership of any data you input, sync, or process through the Service.
11. Service Availability
- We strive to maintain high availability but do not guarantee 100% uninterrupted or error-free service.
- We may perform scheduled maintenance that temporarily affects availability. We will provide advance notice when possible.
- We are not liable for sync delays, data loss, or service interruptions caused by third-party platforms, network issues, or circumstances beyond our reasonable control.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data synced through the Service will be accurate or complete.
- In no event shall HLKonnect be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total fees you paid to HLKonnect in the twelve (12) months immediately preceding the event giving rise to the claim.
- We are not responsible for data loss, corruption, or inaccuracies caused by third-party platform outages, API changes, or your misconfiguration of the Service.
13. Indemnification
You agree to indemnify, defend, and hold harmless HLKonnect, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your violation of any third party's rights, including intellectual property or privacy rights.
- Any data you sync, transfer, or process through the Service.
14. Termination
- By you: You may terminate your use of any HLKonnect application at any time by uninstalling it from your GoHighLevel account.
- By us: We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in abusive behavior, or if required by law. We may also terminate with 30 days notice for any other reason.
- Effect of termination: Upon termination, your active syncs will stop and your OAuth tokens will be deleted. Data already synced to your connected platforms remains in those platforms. Account data is retained and deleted in accordance with our Privacy Policy.
- Survival: Sections relating to Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law survive termination of these Terms.
15. Dispute Resolution
15.1 Informal Resolution
Before filing any formal dispute, you agree to first contact us at support@hlkonnect.com and attempt to resolve the dispute informally for at least 30 days.
15.2 Binding Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall take place in the State of Delaware, United States, and shall be conducted in English. The arbitrator's decision shall be final and binding.
15.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15.4 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.
16. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify you via email or in-app notification for significant changes.
- Provide at least 30 days notice before material changes take effect.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.
18. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HLKonnect regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
- Force majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service disruptions.
